Any dispute will be resolved first through informal negotiations. If unresolved within 60 days, it shall proceed to binding arbitration under the American Arbitration Association’s rules.

Venue for arbitration or court action (if needed) will be appropriate courts located in California.

11. SEVERABILITY & WAIVER
